1. Acceptance of Terms

By accessing or using ZIBRI, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our service.

2. Description of Service

ZIBRI is an AI-powered note-taking and knowledge management platform that allows you to:

• Capture notes, voice recordings, and documents
• Organize content in vaults with AI-powered tagging
• Chat with your knowledge using AI
• Build custom AI agents from your content (Pro tier)

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 13 years old to use ZIBRI
• One person may not maintain multiple free trial accounts
• You are responsible for all activities under your account

4. Free Trial

ZIBRI offers a 30-day free trial with Pro-level access:

• No credit card required to start your trial
• After 30 days, you will be automatically moved to the Personal tier ($9/month) unless you choose a different plan
• You can cancel or downgrade at any time during your trial
• Trial abuse (creating multiple accounts) may result in account termination

5. Subscription and Billing

Pricing Tiers

• Personal: $9/month or $90/year (16% discount)
• Pro: $19/month or $192/year (16% discount)

Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payments are processed securely through Stripe
• Prices are subject to change with 30 days notice
• You can upgrade or downgrade your plan at any time
• Upgrades take effect immediately; downgrades apply at next billing cycle

Refunds

• Monthly subscriptions: No refunds for partial months
• Annual subscriptions: Non-refundable once purchased
• Refunds may be issued at our discretion for service issues

6. Cancellation

• You can cancel your subscription at any time from Account Settings
• Cancellation takes effect at the end of your current billing period
• You will retain access to your account until the end of the paid period
• After cancellation, your data will be retained for 30 days, then permanently deleted

7. Usage Limits

Each tier includes specific limits:

• Personal: 5GB storage, 500 AI queries/month
• Pro: 20GB storage, 3,000 AI queries/month

We will notify you at 80% usage. Exceeding limits may result in reduced service until you upgrade or wait for monthly reset.

8. Acceptable Use Policy

You agree not to:

• Upload illegal, harmful, or inappropriate content
• Violate any laws or regulations
• Infringe on intellectual property rights
• Attempt to hack, disrupt, or reverse-engineer our service
• Use ZIBRI to spam, harass, or harm others
• Share your account credentials with others
• Use automated tools to scrape or abuse the service
• Resell or redistribute ZIBRI's services

9. Content Ownership

• Your Content: You retain all rights to content you upload to ZIBRI
• License to Us: You grant us a limited license to store, process, and display your content solely to provide our services
• Our IP: ZIBRI's software, design, and branding remain our intellectual property
• AI Training: We do NOT use your content to train AI models or share it with third parties

10. Service Availability

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• Scheduled maintenance will be announced in advance when possible
• We are not liable for temporary service disruptions
• Emergency maintenance may occur without notice

11. Data Backup and Loss

• We maintain regular backups of your data
• You are responsible for maintaining your own backups
• We are not liable for data loss due to user error, deletion, or service issues
• Export your data regularly using our export tools

12. Termination

We may suspend or terminate your account if:

• You violate these Terms of Service
• Your payment fails or account is past due
• We detect fraudulent or abusive activity
• Required by law or legal process

Upon termination, you have 30 days to export your data before permanent deletion.

13. Disclaimers

ZIBRI is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including:

• Fitness for a particular purpose
• Merchantability
• Non-infringement
• Accuracy or reliability of AI-generated content

14. Limitation of Liability

To the maximum extent permitted by law, ZIBRI and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, even if advised of such possibility.

Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months prior to the claim.

15. AI-Generated Content

• AI responses may contain errors or inaccuracies
• You are responsible for verifying AI-generated content
• We do not guarantee the accuracy of AI summaries or insights
• AI features are provided as assistive tools, not professional advice

16. Indemnification

You agree to indemnify and hold harmless ZIBRI from any claims, damages, or expenses arising from your use of the service, your content, or your violation of these terms.

17. Governing Law

These terms are governed by the laws of the United States and the state where ZIBRI is incorporated. Any disputes shall be resolved in the courts of that jurisdiction.

18. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or in-app notification. Your continued use after changes constitutes acceptance of the updated terms.

19. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
